DTF Supervisory Board Session: ‘Directors’ Liability’

The world is undergoing significant change, and the COVID-19 crisis is accelerating and magnifying trends that can cause turbulence, uncertainty, and complexity.

At the same time, there are enormous opportunities to prepare companies for the future. For the Board of Directors, today’s landscape is a challenging playing field, on which they set the course for the company and must weigh up opportunities and risks.

The task of the Supervisory Board is to supervise the policy and conduct of the Executive Board and the course of business within the company. Themes of interest to the commissioner are:

  • Corporate governance versus the risk-averse behavior of the board;
  • Control mechanisms within a company;
  • The responsibility of the board and individual directors;
  • Personal responsibility and liability.

In politics, ministerial responsibility exists; in business, a director can be held liable, but what does and does not fall within his or her responsibility? What is natural, what falls within the norm, and what is desirable?
